1. Agreement to Terms

The website www.taskontg.com ("Site") is owned and operated by TaskOn Talent Group ("Company," "we," "our," or "us"). You must be at least 18 years old to access or use the Site and our Services.

By accessing or using our Site or Services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access our Site or Services.

2. Description of Services

TaskOn Talent Group provides staffing and talent placement services to businesses. Our Services include but are not limited to:

• Administrative and executive support placement
• eCommerce and marketing staffing
• Customer service support staffing
• Creative and design services
• Talent matching, vetting, and recruitment
• Onboarding, training, and ongoing HR support

3. Access to the Site

We grant you a non-transferable, non-exclusive, revocable, limited license to access and use the Site for personal and business purposes related to evaluating or engaging our Services. You may not:

• Commercially exploit, modify, or reverse engineer any part of the Site
• Use the Site to build a competitive product or service
• Scrape, crawl, or use automated means to access the Site without our written consent

4. Service Agreements and Payments

Service Agreements

Specific service engagements will be governed by separate service agreements that detail scope, deliverables, timelines, and pricing. These service agreements, together with these Terms, form the complete agreement between you and TaskOn Talent Group.

Payment Terms

Payment terms will be specified in your service agreement. Generally:

• Invoices are due upon receipt unless otherwise specified
• Late payments may incur additional fees as outlined in your agreement
• We reserve the right to suspend Services for overdue accounts
• All fees are non-refundable unless otherwise stated in your agreement

5. Client Responsibilities

As a client of TaskOn Talent Group, you agree to:

• Provide clear instructions and expectations to assigned talent
• Provide necessary access, tools, and information for talent to perform their duties
• Communicate professionally and respectfully with all assigned talent
• Not engage in any form of harassment or discrimination
• Provide timely feedback and approvals as required
• Not directly hire or solicit our talent for a period specified in your service agreement

6. Intellectual Property

Work Product

Unless otherwise specified in your service agreement, all work product created by our talent specifically for you during the course of their engagement shall be owned by you upon full payment for such services.

Company Materials

All content on our Site, including text, graphics, logos, and software, is the property of TaskOn Talent Group and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes but is not limited to:

• Business strategies and plans
• Financial information
• Customer and client data
• Trade secrets and proprietary processes
• Any information designated as confidential

8. Indemnification

You agree to indemnify, defend, and hold harmless TaskOn Talent Group and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services.

9. Third-Party Links and Services

Our Site may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites. Use of third-party services is at your own risk.

10. Disclaimers

Our Site and Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, TaskOn Talent Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claims arising out of or relating to these Terms or our Services shall not exceed the amount paid by you to us during the twelve (12) months preceding the claim.

12. Termination

Either party may terminate service engagements as specified in the applicable service agreement. We reserve the right to suspend or terminate your access to our Site and Services immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Conduct harmful to our talent or business

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable rules. You waive any right to a jury trial and to participate in a class action. A 30-day opt-out window is available from the date you first accept these Terms.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes take effect upon your continued use of the Site or Services after the updated Terms are posted. We encourage you to review these Terms periodically.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
